GENERAL TERMS AND CONDITIONS OF ONLYSKILLS PLATFORM

Welcome to OnlySkills! By using OnlySkills Platform, the User agrees to comply with these General Terms and Conditions. OnlySkills is committed to providing an inclusive environment where Users can monetize their skills. OnlySkills is a consumer-to-consumer platform, designed to connect individuals directly with one another, enabling them to offer and acquire services in a seamless and efficient manner. Please use the platform responsibly and ethically.

To use the Platform, the User must create an account and accept these General Terms and Conditions. Upon acceptance, an Agreement is formed between the User and OnlySkills for the provision of Platform Services. The User is required to enter into a separate Service Agreement with the other User whom they wish to engage either to receive or to provide services.

1.  DEFINITIONS AND THE ROLE OF ONLYSKILLS
1.1.  In the General Terms and Conditions, the following definitions shall apply:
Agreement
these General Terms and Conditions, together with any annexes, that regulate the relationship between OnlySkills and the User in relation to the use of the Platform and the execution of the Service Agreement via the Platform.
Customer or You
a natural person who has registered as a User and uses the Platform to be connected with other users in order to receive or provide a service.
General Terms and Conditions
these General Terms and Conditions of governing the use of the OnlySkills Platform by the User, applicable when the User accesses the Platform and when executing the Service Agreement via the Platform.
OnlySkills
onlyskills.com OÜ, a company registered in Estonia under the registry code 16813952, registered address Harju maakond, Tallinn, Kesklinna linnaosa, Ahtri tn 12, 15551.

OnlySkills is the information society service provider that has developed and operates the OnlySkills Platform.
Service Provider
a natural person who has registered as a User on the Platform who responds to a Customer's Service Request via the Platform with the desire to provide the requested Service.
User Service
any community-oriented services provided by a Service Provider to a Customer, excluding Restricted and Prohibited Services.

Users are encouraged to list services that foster connection, support, and mutual benefit within the community. Examples include personal assistance, household tasks, tutoring, creative services, event planning, and other "everyman" services suitable for a broad audience.
Platform
the online platform operated by OnlySkills, accessible via OnlySkills.com and through a mobile application, enabling interactions between Users and service providers for the provision of offline services.
Restricted and Prohibited Services
the following services are strictly prohibited on the Platform, including but not limited to:
  • Regulated Activities: Services that are subject to legal regulations or require specific licenses or certifications (e.g., medical, legal, financial, or professional advisory services).
  • Gambling: Any service that involves games of chance, betting, or gambling in any form.
  • Violent Content: Service that involves, promotes, or depicts violence, threats, or harm towards individuals, animals, or property.
  • Weapons and Hazardous Materials: Services that involve the handling, sale, instruction, or use of weapons, explosives, or other hazardous materials.
  • Immoral, Illegal or Offensive Activities: Services that violate public moral standards, are illegal, or could reasonably be considered offensive, inappropriate, or harmful to public decency. This includes, but is not limited to, services that promote hate, discrimination, exploitation, or any other content that contradicts the Platform's commitment to community values.
Service Agreement
the contract entered between the Customer and the Service Provider for the provision of the requested Service, facilitated through the Platform.
Support Fee
the fee that the user pays to OnlySkills for the provision of agency services for each Service Request fulfilled through the Platform.
Service Request
a request from a Customer as referred to in clause 3.3 below.
Service Request Fee
The total fee of the Service Request, including the fee of using the platform, applicable Support Fee and taxes.
User
the Customer and the Service Provider.
1.2.  OnlySkills is an information society service provider that facilitates the execution of a Service Agreement between the Customer and the Service Provider. OnlySkills is not a party to the Service Agreement, which is solely concluded between the Customer and the Service Provider.
1.3.  The Service Provider operates as an independent and autonomous service provider and is not subject to OnlySkills' control. The Service Provider is responsible for organizing and managing all activities necessary for the performance of the Service Agreement. The Service Provider shall fulfil the Service Agreement at its own discretion regarding manner, time, and location, provided that it adheres to the requirements and restrictions set forth in these General Terms and Conditions. The Partner is solely liable for the proper performance of all contractual and legal obligations related to its activities, including but not limited to the fulfilment of tax obligations, social security contributions, and the assumption of all costs and risks associated with its commercial activity.
1.4.  OnlySkills acts as an intermediary in facilitating the execution of the Service Agreement between the Customer and the Partner through the Platform. As part of this intermediary role, OnlySkills collects payments made by the Customer for services rendered by the Service Provider via the Platform. OnlySkills subsequently remits these payments to the Service Provider in accordance with the procedures outlined in these General Terms and Conditions.
2.  SIGNING UP AS A USER
2.1.  The Platform can be used by registered Users only. The User must provide the information required for creating their account when they first sign in. This includes their name, surname, gender, date of birth, email address, country.
2.2.  Users may edit their account information at any time, adding or removing data as needed. While using the Platform, Users are required to provide accurate, complete, true, and up-to-date information. OnlySkills reserves the right to restrict a User's ability to use the Platform if there is reason to believe that profile edits are made for unethical or unfair purposes, or if the information provided is misleading, inappropriate, or unsuitable.
2.3.  By registering as a User on the Platform, the User confirms that they are at least 18 years of age. The User also confirms that they have provided completely correct personal and contact information when registering as a User and using the Platform, including registering their correct and complete name.
2.4.  The User understands and agrees that upon registration as a User on the Platform, these General Terms and Conditions become a binding agreement between the User and OnlySkills. The User undertakes to use the Platform in accordance with the procedure provided in these General Terms and Conditions, including not to use the Platform for fraud or other illegal transactions.
2.5.  Upon creating an account and accepting the General Terms and Conditions, the User may begin using the Platform. Access to the Platform is available exclusively through the User's account login.
2.6.  The User undertakes to notify OnlySkills immediately if they have reason to believe that their account details have been compromised or that their account has been accessed by unauthorized persons. The User is fully responsible for the use of the Platform and anything taking place on their user account.
3.  USING THE SERVICE
3.1.  A registered User of the Platform may operate in a dual capacity, both as a Service Provider and as a Customer. This means that a user can offer services as a Service Provider while also being able to request services as a Customer, without the need for separate accounts. The Platform's functionalities are designed to accommodate and support such dual role usage seamlessly. However, users must adhere to the respective terms and conditions applicable to Service Providers and Customers, ensuring that all activities are conducted in accordance with Platform policies.
3.2.  The use of the Platform may require the activation of the 'allow location access' function on the User's mobile phone.
3.3.  Using the Service as the Customer.
3.3.1.  The Platform enables the Customers to publish offers for simple tasks, allowing them to quickly find, connect with, and conclude agreements with Partners. The Platform's algorithms help identify Service Providers who may meet the Customer's specific requirements. Customer requests are referred to as 'Service Requests', each of which initiates a process to connect the Customer with a Service provider who fulfils the criteria outlined by the Customer. If a Service Provider is interested in a Service Request published by the Customer, the Service Provider may express their interest by applying for the Service Request via the Platform.
3.3.2.  OnlySkills is committed to fostering a supportive, accessible, and community-centered marketplace. Users are encouraged to list services that are inclusive, respectful, and aligned with the Platform's community-focused values. The Platform reserves the right to remove any Service Request related to Restricted or Prohibited Services and may take further action against Users who publish such Service Requests.
3.3.3.  When a Service Provider applies for a Service Request, his account information will be disclosed to the Customer who published the Service Request.
3.3.4.  The Customer acknowledges that by publishing a Service Request on the Platform, they are making an offer to enter into a legal agreement with a Service Provider under the terms specified in the Service Request (including time, location, fee terms, etc.).
3.3.5.  By applying for a Service Request, the Service Provider expresses their intent to enter into an agreement with the Customer. The Customer may accept, decline, or disregard any application from Service Providers who have applied for the Service Request. Upon acceptance of a Service Provider's application, the Customer and the Service Provider will enter into a legal agreement for the completion of the Service Request under the conditions outlined in the Customer's offer for that Service Request.
3.3.6.  The Customer acknowledges that upon accepting a Service Provider's application for a Service Request, they are bound by the terms of the resulting Service Agreement. By entering into a Service Agreement with a Service Provider, the Customer commits to providing the Service Provider the opportunity to perform the Service Request at the time and location specified in the Service Request.
3.3.7.  After each Service Request is completed, the Customer is encouraged to leave a review using a five-star rating system and provide optional written feedback. We recommend that all reviews be as truthful as possible, as this helps us improve the Service and ensures a better experience for all users.
3.4.  Using the Service as the Service Provider.
3.4.1.  The Platform enables Service Providers to discover and apply for available Service Requests posted by Customers. Service Providers can adjust search filters (e.g., time, location, field of activity) to find Service Requests that best meet their skills, needs, and availability. If a Service Provider is interested in a Service Requests listed on the Platform, they may submit an application for that Service Requests.
3.4.2.  When a Service Provider applies for a Service Request, their account information, including previous reviews, will be disclosed to the Customer that posted the respective Service Requests.
3.4.3.  By applying for a Service Request, Service Providers express their willingness to enter into a binding Service Agreement with the Customer that posted the Service Request, subject to the terms specified in the Service Request (including time, location, and payment). Once a Service Provider applies, the Customer may accept or decline the application. The Service Agreement between the Service Provider and the Customer is considered effective upon the Customer's acceptance of the application. By entering Service Agreement, the Service Provider agrees to fulfill the Service Request according to the terms specified therein and in compliance with all applicable laws and regulations. Partners must perform Service Request personally and may not assign or delegate any portion of the Service Request or its responsibilities to another party.
3.4.4.  The Service Provider is obligated to provide the service agreed in the Service Request at the agreed location and time.
3.4.5.  The Service Provider is obligated to log the completion of the Service Request on the Platform by making the appropriate entry on the Platform upon finishing the Service Request. This action will trigger the start of the payment procedure.
3.4.6.  Customers are encouraged to leave feedback about their experience by using a five-star rating system and providing optional written comments. This feedback helps us continuously improve our Platform Service to ensure an optimal experience for all Users.
4.  USERS' OBLIGATIONS AND PROHIBITED CONDUCT
4.1.  The User expressly agrees to the following:
4.1.1.  The User agrees to comply with all applicable laws, regulations, and Platform policies. The User will not violate public order, moral standards, or third-party rights, nor engage in any conduct that could be considered unlawful or in breach of these General Terms and Conditions.
4.1.2.  The User will not authorize any third party to access or use their account and will not transfer or assign their account to any other individual.
4.1.3.  The User agrees not to post, publish, or share content that is abusive, defamatory, disparaging, slanderous, or otherwise illicit, false, or harmful to public order or third-party rights. The User will not infringe on the rights, reputation, or image of the Platform or any other User. Any actions that could potentially harm the standing or perception of the Platform or its Users are strictly prohibited.
4.1.4.  The User will provide the Platform with all necessary information required for the provision of Platform Service and guarantees the accuracy of this information at all times.
4.1.5.  The User agrees to use the Platform and its services in a fair and constructive manner, including participating in any registration, rating systems as intended. The User also agrees that any ratings and feedback provided will be true and fair, reflecting their genuine experience.
4.1.6.  The Partner ensures they possess the skills and qualifications required for the Partner Service they provide through the Platform and will maintain these competencies for the duration of their use of the Platform.
4.2.  The User understands and agrees that the following behaviours are strictly prohibited:
4.2.1.  Engaging in any activity likely to disrupt, suspend, slow down, or prevent the proper operation of the Platform or its services.
4.2.2.  Attempting to intrude upon or compromise the security of the Platform's systems, including unauthorized access to Platform resources or accounts.
4.2.3.  Misusing the Platform's resources or taking any action that imposes an unreasonable or disproportionate load on its digital infrastructure.
4.2.4.  Attempting to bypass or violate any security and verification measures employed by the Platform.
4.2.5.  Taking any action likely to harm the financial, commercial, legal, or reputational interests of the Platform or other Users.
4.2.6.  Failing to adhere to these General Terms and Conditions or using the Platform and its services for purposes other than those intended.
4.2.7.  Copying, reproducing, or otherwise misusing the Platform's digital infrastructure, algorithms, or proprietary systems for unauthorized or unintended purposes.
5.  PRICING AND PAYMENT TERMS
5.1.  Upon publishing a Service Request on the Platform, the Customer will be asked to provide valid credit or debit card payment details for payment of the Service requested through the Platform.
5.2.  OnlySkills will submit an invoice to the Customer for a Service Request placed via the Platform, indicating the price of the services and the Support Fee. The total fee of the Service Request will be set out on the checkout, including the prices of Service Provider and applicable Support Fee and taxes (if applicable). By submitting a Service Request via the platform, the Customer undertakes to pay the fee indicated in the Service Request to Service Provider.
5.3.  If the Customer and Service Provider has agreed on the Service Request, the fee for Service Request will be reserved on the account related to the payment instrument of the Customer, and when the Service Request has completed, the reserved sum will be automatically deducted from the account related to the payment instrument.
5.4.  By paying the fee for Service Request to OnlySkills, the Customer has fulfilled their obligation to pay the fee arising from the Sales Agreement to the Service Provider.
5.5.  OnlySkills will forward the fee for Service Request collected from the Customer to the Service Provider.
5.6.  OnlySkills will forward to the Service Provider the fee for Service Request paid by the Customers and received by OnlySkills on behalf of the Service Provider within 21 days of receiving the payment from the Customer. OnlySkills shall not transfer payments to the Service Provider on weekends and public holidays, nor in the event that the fee paid by the Customer has not been received in OnlySkills's account for reasons beyond OnlySkills's control (e.g., due to the payment service provider). The Service Provider acknowledges that OnlySkills will not transfer the fee for Service Request paid by the Customer to the Service Provider until it has been credited to the OnlySkills account. OnlySkills deducts from the amount payable to the Service Provider the Support Fee.
5.7.  The support fee applicable to the Service Request and payable by the Customer to OnlySkills shall be disclosed no later than the process of agreeing to the Service Provider's offer. OnlySkills reserves the right to modify the Support Fee at any time.
6.  FEEDBACK, COMPLAINTS AND DISPUTE
6.1.  OnlySkills invites the Customers to evaluate the Service Provider and its Services after the completion of Service Request.
6.2.  Based on the ratings provided by the Customers to the Service Providers, the Platform generates their average rating of the Service Provider, which is visible to all Customers of the Platform. Although OnlySkills is not obliged to do that, OnlySkills is entitled to correct the rating given regarding the Partner (including to delete the rating) if there is a reason to believe that low rating was given maliciously.
6.3.  If the Partner finds that the rating given in their regard by the Customer is incorrect or malicious, the Service Provider must contact OnlySkills. OnlySkills will evaluate the rating given by the Customer only on the basis of a respective request of the Service Provider in accordance with the explanations provided by the Service Provider. The Service Provider understands and agrees that the decision to change or delete the rating depends entirely on OnlySkills's discretion. Failure to amend or delete the rating is not considered a breach of the Agreement.
6.4.  The rating given by the Customer to the Service Provider on the Platform is an unedited evaluation by the Customer for the Service Provider and its services. OnlySkills is not liable for, and disclaims any liability for the accuracy, completeness, legality and reliability of the rating given regarding the Service Provider.
6.5.  If the Customer is not satisfied with the Service Provider, the Customer can submit a complaint directly to the Service Provider or via the Platform. The Customer undertakes to submit the complaint immediately, but in any event not later than within 7 calendar days from the time of fulfilment of the Service Request in connection with which the complaint arose.
6.6.  OnlySkills will only act as an independent party which resolves the complaint, and OnlySkills makes its decision at its sole discretion. With regard to the complaint, OnlySkills has the right, among other things, to make the following decisions: to refund the fee of the Service Request paid in part or in full by the Customer and to demand compensation for the refunded amount from the Service Provider, to temporarily suspend the Partner's access to the Platform, to extraordinarily terminate the Agreement signed with the Partner and to restrict the Partner's access to the Platform.
7.  LIABILITY
7.1.  CONTENT OR FUNCTIONS MADE AVAILABLE IN CONNECTION WITH OR THROUGH THE PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. ONLYSKILLS DISCLAIMS ALL WARRANTIES TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. ONLYSKILLS DOES NOT WARRANT OR GUARANTEE THAT THE PLATFORM SHALL BE AVAILABLE ALWAYS OR AT ANY SPECIFIC TIME, SHALL OPERATE AT ANY SPECIFIC TIME WITHOUT INTERRUPTION, SHALL BE SECURE OR FREE OF ERRORS, SHALL CORRESPOND TO ANY NEEDS OF THE USER, OR SHALL BE FREE FROM VIRUSES, DISRUPTIONS, OR PROTECTED FROM HACKING OR OTHER BREACHES WHICH CAN REDUCE SECURITY.
7.2.  OnlySkills is not a party to the Service Agreement, therefore OnlySkills is not liable for claims arising from the Service Agreement. If the Customer discovers any defects in the Service Provider Service ordered through the Platform, the Service Provider shall be liable for such defects.
7.3.  OnlySkills is not liable to the User, including but not limited to, for:
7.3.1.  Any loss, damage, expense, or liability incurred by third parties in relation to the Customer's use of the Platform.
7.3.2.  Any loss resulting from temporary access issues or inability to use the Platform, account or Platform Service.
7.3.3.  Any loss caused by Customer error, circumstances outside of OnlySkills's control (such as disruptions in third-party telecommunication networks, even when reasonable care is taken), or inherent limitations of online services.
7.3.4.  Any other loss, damage, cost, or liability related to the Platform Service, except where caused by OnlySkills's failure to deliver services with the reasonable skill and care expected of a provider of similar digital intermediary services.
7.4.  User understands and acknowledges that the Platform is designed exclusively for the provision of services intended for domestic use. Should a User engage these services for commercial, business, or resale purposes, the Platform would not be suitable for such applications.
8.  TERM, SUSPENSION AND TERMINATION
8.1.  The Agreement between OnlySkills and the User shall take effect from the date of acceptance and shall remain in effect until terminated as set forth herein.
8.2.  OnlySkills may revoke or limit access to the Platform, deny registration and refuse to provide any or all Platform Services or terminate the Agreement between the User and OnlySkills with immediate effect and cancel the User's access to the Platform by deleting the account if:
8.2.1.  The User breaches any terms and conditions of these General Terms and Conditions or any other Platform policies.
8.2.2.  OnlySkills has reason to believe that the User has provided false, misleading, or incomplete information during registration or in relation to any Service Request or interaction on the Platform.
8.2.3.  The User's actions or intended actions could create potential legal liability for the User, OnlySkills, or other Users, including activities that may involve illicit or illegal conduct.
8.2.4.  The User's Service Request is related to Restricted and Prohibited Services or involves activities inconsistent with the legal or ethical standards set by the Platform.
8.2.5.  The User engages in activities that are likely to harm or disrupt the Platform's integrity, safety, or functionality, such as attempts to exploit, misuse, or circumvent Platform features or protections.
8.2.6.  OnlySkills determines that the User's behavior or Service Requests are inconsistent with the community-oriented and supportive values of the Platform, including actions contrary to the interests, safety, or well-being of other Users.
8.2.7.  The User's actions or conduct are found to be abusive, discriminatory, or otherwise harmful to individuals, communities, or OnlySkills' reputation.
8.3.  In addition, OnlySkills reserves the right to terminate the Agreement with immediate effect if the provision of information society services in the manner described in these General Terms and Conditions becomes prohibited under applicable law.
8.4.  Both the User and OnlySkills have the right to terminate the Agreement without cause by providing at least thirty (30) days' notice to the other Party. To initiate termination, the User must contact OnlySkills via support service.
9.  SUPPORT SERVICES
9.1.  The User can contact our support service to eliminate any problems or errors that may have occurred while using the Platform. The support service can be contacted via the chat on the Platform.
9.2.  The support service is available from Monday to Sunday from 09:00 to 18:00.
10.  PRIVACY
10.1.  To provide the Platform Service, OnlySkills will collect and process personal data in accordance with the Platform Privacy Policy, which is available here.
10.2.  By accepting these General Terms and Conditions and using the Platform, User acknowledges that they have read and understood the terms of Platform Privacy Policy.
11.  INTELLECTUAL PROPERTY RIGHTS RELATED TO THE PLATFORM
11.1.  The Platform, including website, mobile application, software, databases, documents and information used on the Platform, data and statistics used to provide the information society specified in the General Terms and Conditions, intellectual property rights belong to OnlySkills.
12.  OTHER PROVISIONS
12.1.  The User understands and agrees that OnlySkills has the right to change the General Terms and Conditions at any time, including without the prior consent of the User. Upon amendment of the General Terms and Conditions, we will notify the User of amendment of the General Terms and Conditions and the content of the new terms and conditions at least 15 days before the new terms and conditions enter into force. If the User does not agree with the new terms and conditions, the User has the right to cancel the Agreement within 10 days of receiving the notice. In such a case, the Agreement is deemed to have been terminated within 10 days as of receipt of the notice of termination. The User is deemed to have agreed to the new terms and conditions if the User does not cancel the Agreement within the aforementioned period.
12.2.  If any term or provision of these General Terms and Conditions is held invalid, unenforceable or illegal in whole or in part for any reason, that provision shall be enforced to the maximum extent permissible. The validity and enforceability of the remaining terms, conditions or provisions, or portions of them, shall not be affected. The parties will substitute for the affected provision an enforceable provision that approximates the intent and economic effect of the affected provision.
12.3.  Legal relations between OnlySkills and the User arising from the use of the Platform are governed by international law. Notwithstanding the foregoing, the User is entitled to rely on such mandatory provisions of law that would apply in the absence of an agreement on the applicable law.
12.4.  Our failure to exercise or enforce any provision of or any of our right hereunder shall not mean a waiver of future enforcement of that or any other provision or right.
